Terms and Conditions

These Terms and Conditions (the “Terms”) govern access to and use of finzcard.com and the Finz web platform, dashboards, and related services (collectively, the “Services”). These Terms are a binding agreement between you and Finz Group, Inc. (“Finz,” “we,” “us,” “our”).
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an entity, you represent you have authority to bind that entity, and “you” refers to the entity.
1.
Definitions
“Customer” means the business entity that has an account with Finz.
“Authorized User” means a person the Customer permits to use the Services under the Customer’s account.
“Customer Data” means data, content, and information submitted to, uploaded to, imported into, or processed through the Services by or on behalf of Customer, including data from connected third-party systems.
“Third-Party Services” means third-party platforms, integrations, or tools you connect to or use with the Services.
“Order” means an order form, statement of work, or online checkout page that sets out pricing and subscription terms, if applicable.
2.
Eligibility and Account Registration
You must be at least 18 years old to use the Services. You agree to provide accurate information when creating an account and to keep it current. You are responsible for all activities under your account and for maintaining the confidentiality of credentials.
3.
Scope of Services
The Services provide tools for financial visibility and workflow automation, which may include dashboards, reports, forecasts, classifications, and operational insights. Certain features may require connecting Third-Party Services (for example, accounting or banking data providers).
No financial advice.
The Services are provided for informational and operational purposes. Finz is not providing legal, tax, accounting, or investment advice. You are responsible for decisions made based on the Services.
4.
Subscriptions, Fees, and Payment
If the Services are provided for a fee, pricing, billing frequency, and any usage limits will be set out in an Order. Unless otherwise stated:
“Fees are non-refundable, except where required by law.
You authorize us and our payment processors to charge your payment method.
Late payments may result in suspension or termination of access.
We may change pricing for renewals with prior notice as required by law or an Order.
5.
Authorized Users and Admin Controls
Customer is responsible for:
Managing Authorized Users, roles, permissions, and access.
Ensuring each Authorized User complies with these Terms.
All actions taken by Authorized Users under the Customer account.
Finz may rely on instructions from Customer administrators.
6.
Customer Data and Permissions
A.
Ownership
Customer retains ownership of Customer Data. These Terms do not grant Finz any ownership rights in Customer Data.
B.
License to operate
Customer grants Finz a limited license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Services and to perform our obligations under these Terms.
C.
Data from Third-Party Services
If you connect Third-Party Services, you authorize Finz to access and process data from those providers under the permissions you grant. You represent you have the right to grant this authorization.
D.
Feedback
If you provide feedback, suggestions, or ideas, you grant Finz a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction.
7.
Acceptable Use
You will not, and will not allow others to:
Use the Services to violate any law or regulation.
Attempt to gain unauthorized access to any systems or accounts.
Interfere with the security or performance of the Services.
Upload malware, scripts, or harmful code.
Reverse engineer, decompile, or attempt to discover source code, except as permitted by law.
Access the Services to build a competing product, or benchmark without our written consent.
Use the Services to process highly sensitive data unless expressly permitted in writing.
8.
Intellectual Property
Finz and its licensors own the Services, including software, design, and all related intellectual property rights. Finz grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the term, subject to these Terms.
9.
Confidentiality
Each party may receive Confidential Information from the other. The receiving party will:
Use Confidential Information only to perform under these Terms.
Protect it using reasonable care.
Not disclose it except to employees, contractors, and advisors who need to know and are bound by confidentiality obligations.
Confidential Information does not include information that is public through no fault of the receiving party, already known, independently developed, or rightfully received from a third party.
10.
Security
We maintain safeguards designed to protect the Services and Customer Data. Customer is responsible for configuring account settings appropriately and for securing its systems and credentials.
11.
Privacy
Our Privacy Policy describes how we collect and use personal information. By using the Services, you agree to our Privacy Policy.
12.
Service Availability and Changes
We aim to keep the Services available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue parts of the Services. We will provide notice where commercially reasonable.
13.
Beta Features
We may offer beta or trial features. These are provided “as is,” may change or be discontinued, and may have reduced support and warranties.
14.
Term and Termination
A.
Term
These Terms begin when you first use the Services and continue until terminated.
B.
Termination by you
You may stop using the Services at any time. If you have a paid subscription, termination terms are governed by the Order.
C.
Termination by us
We may suspend or terminate access immediately if:
You breach these Terms.
Your use poses a security risk.
We are required to do so by law.
Payment is overdue (for paid Services).
D.
Effect of termination
Upon termination:
Your right to use the Services ends.
We will make Customer Data available for export for a limited period if required by an Order or applicable law, unless doing so would create a security or legal risk.
Sections intended to survive will survive, including IP, confidentiality, disclaimers, limitations of liability, and dispute terms.
15.
Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Finz disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Finz does not warrant that the Services will be error-free, secure, or uninterrupted, or that any outputs (including forecasts or classifications) will be accurate, reliable, or complete.
16.
Limitation of Liability
To the maximum extent permitted by law:
Finz will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill.
Finz’s total liability arising out of or related to the Services will not exceed the amounts paid by Customer to Finz for the Services in the 12 months before the event giving rise to liability, or $100 if no fees were paid.
17.
Indemnification
Customer will indemnify and hold harmless Finz and its officers, directors, employees, and agents from claims arising out of:
Customer Data or Customer’s use of the Services.
Customer’s violation of these Terms or applicable law.
Use of Third-Party Services in connection with the Services.
Finz will promptly notify Customer of any claim and cooperate. Customer may control the defense and settlement, except settlements requiring admission of fault or obligations by Finz require Finz’s consent.
18.
Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of New York, excluding conflict of laws principles.
A.
Informal resolution
Before filing a claim, you agree to contact us at legal@finzcard.com and attempt to resolve the dispute informally for 30 days.
B.
Venue
Unless otherwise required by law, any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to jurisdiction and venue there.
19.
Notices
We may send notices by email, through the Services, or by posting on finzcard.com. You are responsible for keeping your contact information current. Legal notices to Finz must be sent to legal@finzcard.com, and if required, to our registered agent on file.
20.
Assignment
You may not assign these Terms without Finz’s prior written consent. Finz may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
21.
Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control, including internet outages, third-party provider failures, labor disputes, or governmental actions.
22.
Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice by posting an updated version and updating the effective date. Continued use after the effective date means you accept the updated Terms.
23.
Entire Agreement
These Terms, together with any Order and the Privacy Policy, form the entire agreement between you and Finz regarding the Services and supersede prior agreements on the subject.
